These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and 33 Bit Incorporated (“33bit,” “Company,” “we,” “us,” or “our”) governing your access to and use of 33bit’s identity intelligence platform, including any associated software, hardware, documentation, and services (collectively, the “Services”).
By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
The Services are intended solely for use by:

The Services may contain technology subject to U.S. export control laws and regulations, including the International Traffic in Arms Regulations (ITAR), Export Administration Regulations (EAR), and sanctions programs administered by the Office of Foreign Assets Control (OFAC). You agree to:

33bit retains all right, title, and interest in and to the Services, including all patents, copyrights, trade secrets, trademarks, and other intellectual property rights. Customer receives only a limited, non-exclusive, non-transferable license to use the Services as expressly permitted under these Terms and any applicable subscription agreement.

Each party agrees to maintain the confidentiality of the other party’s confidential information, including technical specifications, pricing, and business information. Confidential information shall not be disclosed to third parties except as required by law or with prior written consent.
For government Customers, confidentiality obligations are subject to applicable Freedom of Information Act (FOIA) requirements and similar state laws.
33bit warrants that the Services will perform substantially in accordance with the applicable documentation during the subscription term. EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. 33BIT DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
33bit does not warrant that the Services will be uninterrupted or error-free, or that all defects will be corrected.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL 33BIT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.
33BIT’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Customer shall indemnify, defend, and hold harmless 33bit from any claims, damages, losses, and expenses arising from: (a) Customer’s use of the Services in violation of these Terms; (b) Customer’s violation of applicable laws or regulations; (c) any third-party claims relating to data processed through the Services at Customer’s direction.
These Terms remain in effect until terminated. Either party may terminate for material breach upon 30 days’ written notice if the breach remains uncured. 33bit may immediately terminate or suspend access if Customer violates export control laws, security requirements, or uses the Services for unlawful purposes.
Upon termination, Customer shall cease all use of the Services and return or destroy all confidential information and materials.
These Terms shall be governed by the laws of the State of North Carolina, without regard to conflict of laws principles. Any disputes shall be resolved in the federal or state courts located in Wake County, North Carolina, and both parties consent to the exclusive jurisdiction of such courts.
For federal government Customers, disputes shall be resolved in accordance with the Contract Disputes Act and applicable federal acquisition regulations.
33bit reserves the right to modify these Terms at any time. Material changes will be communicated via email or through the Services. Continued use of the Services after such modifications constitutes acceptance of the updated Terms.
